3. Client Responsibilities
To use our services, you agree to:
- Provide valid access permissions to your Facebook Pages and Ad Accounts as required for automation and management.
- Ensure that all content, images, and messages you publish via our tools comply with applicable laws and Meta's Community Standards.
- Not use our automation tools for spamming, harassment, or distributing prohibited content.
- Maintain the security of your account credentials.
4. Meta Platform Compliance
We strictly adhere to the Meta Platform Policy and Messenger Platform Policy.
- We do not use data obtained from Meta APIs for surveillance.
- We do not sell user data to third parties.
- We reserve the right to immediately suspend services to any client found violating Meta's terms, including but not limited to sending unsolicited messages (SPAM) or engaging in deceptive practices.
5. Payment and Billing
- Service Fees: All agency fees and subscription costs are billed in advance. Payment obligations are non-cancelable, and fees paid are non-refundable once the service period has commenced.
- Ad Spend: Advertising budgets are paid directly to the ad platform (e.g., Facebook) by the Client. Northway is not responsible for paying your ad spend unless explicitly agreed upon in a separate contract.
6. No Guarantee of Results
While we employ industry best practices to manage ads and automation:
- Marketing Performance: We do not guarantee specific results regarding sales, leads, or Return on Ad Spend (ROAS). Marketing results depend on market conditions, product quality, and external factors beyond our control.
- Platform Changes: We are not responsible for disruptions caused by changes to Meta's algorithms, policies, or API functionality.
7. Limitation of Liability
To the maximum extent permitted by law, Northway shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to:
- Loss of profits or revenue.
- Suspension or restriction of your Facebook/Instagram accounts by Meta.
- Data loss or corruption resulting from third-party platform errors.
Our services are provided on an "AS IS" and "AS AVAILABLE" basis.
8. Data Handling & Privacy
Your use of our services is also governed by our Privacy Policy. We collect and process data (such as Facebook User IDs and order details) solely for the purpose of providing automation and order management services.
9. Intellectual Property
- Client Content: You retain all rights to the images, text, and branding you provide for your campaigns.
- Agency Property: Northway retains ownership of its automation scripts, chatbot flows, software code, and marketing strategies developed by us.
10. Termination
We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, if you breach these Terms, specifically if you violate Meta's Platform Policies.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Algeria, without regard to its conflict of law provisions.
